Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "user") and Flock Together ("we," "us," or "our"), a company based in Montreal, Quebec, Canada, governing your access to and use of the flocktogether.ai website, the app.flocktogether.ai application, and all related services (collectively, the "Service").

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service. We may update these Terms from time to time, and your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2. Eligibility

You must be at least 13 years of age to use the Service. By creating an account, you represent and warrant that you are at least 13 years old and have the legal capacity to enter into these Terms. If you are between the ages of 13 and 18 (or the age of majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.

3. Account Creation and Security

To use Flock Together, you must create an account using a valid email address or a supported third-party authentication provider (such as Google). You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security and confidentiality of your login credentials
• Promptly notify us of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account
• Create and maintain only one account per person

We reserve the right to suspend or terminate accounts that we reasonably believe are duplicates, fraudulent, or in violation of these Terms.

4. How the Service Works

4.1 AI-Powered Matching

Flock Together is an AI-powered people matching platform. You provide a personality description generated by your AI assistant (such as ChatGPT, Claude, or Gemini), which we analyze to create a personality profile. We generate vector embeddings from your profile and use these to match you with other users based on personality compatibility. You understand and acknowledge that:

• Matching is performed by automated AI systems and is based on the information you provide
• The quality of matches depends on the quality and accuracy of your AI-generated personality description
• We do not guarantee that any match will lead to a particular outcome, relationship, or experience
• You are solely responsible for the accuracy of the personality description you submit

4.2 Anonymous-First Connections

Connections on Flock Together begin anonymously. Your identifying information (name, avatar, and detailed profile) is not shared with other users until you explicitly choose to reveal it. The platform uses a three-stage reveal system: anonymous, public profile, and full identity. Each user controls their own reveal independently. You agree not to share identifying information through chat messages while in anonymous mode, as doing so undermines the platform's design and other users' experience.

4.3 Communication Features

The Service provides real-time chat between matched users, supporting text messages, image uploads, GIF sharing, emoji reactions, and read receipts. All communication through the Service is subject to our acceptable use policies described below.

5. Acceptable Use

You agree to use the Service in accordance with these Terms and all applicable laws. You agree not to:

• Harass, bully, intimidate, threaten, or abuse other users through messages or any other feature of the Service
• Post or transmit content that is illegal, defamatory, obscene, hateful, discriminatory, or that promotes violence
• Submit false, misleading, or artificially generated personality descriptions designed to manipulate the matching system
• Create fake accounts, impersonate others, or misrepresent your identity in ways intended to deceive
• Solicit personal information from other users who have chosen to remain anonymous
• Use the Service for commercial solicitation, advertising, spam, or promotion without our written consent
• Upload malware, viruses, or any harmful code
• Attempt to access other users' accounts, data, or private information
• Scrape, crawl, or use automated means to access the Service or extract data beyond what is permitted by our robots.txt and API documentation
• Circumvent, disable, or interfere with security features of the Service, including AI moderation
• Use the Service to recruit for or promote illegal organizations or activities
• Share sexually explicit content with users who have not consented to receive it
• Abuse the reporting system by filing bad-faith reports against other users

Violations of these acceptable use policies may result in warnings, content removal, temporary restrictions, or permanent account termination, depending on the severity and frequency of the violation.

6. Content Ownership and License

7.1 Your Content

You retain ownership of the content you create and submit to the Service, including your personality description, messages, images, and other user-generated content ("Your Content"). By submitting Your Content to the Service, you grant Flock Together a non-exclusive, worldwide, royalty-free, sublicensable license to use, store, process, display, reproduce, and transmit Your Content solely for the purpose of operating, providing, and improving the Service. This license includes the right to process Your Content through AI systems for matching, moderation, and other features described in these Terms.

This license terminates when you delete Your Content or your account, except where Your Content has been shared with other users (such as messages already delivered) or where retention is necessary for legal compliance or the legitimate purposes described in our Privacy Policy.

7.2 Our Content

The Service, including its design, features, code, AI models, algorithms, trademarks, logos, and documentation, is owned by Flock Together and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse engineer or attempt to extract the source code of our software, except as permitted by applicable law.

7.3 AI-Generated Content

Certain content on the Service is generated by AI, including processed personality profiles, match compatibility summaries, conversation openers, and AI moderation decisions. This AI-generated content is provided "as is" and may not always be accurate, complete, or appropriate. We do not guarantee the accuracy of AI-generated content, and you should not rely on it as professional advice of any kind.

7. Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data. The Privacy Policy is incorporated into these Terms by reference. By using the Service, you consent to the data practices described in the Privacy Policy.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, timely, secure, or error-free
• AI matching will produce compatible matches or lead to any particular outcome
• AI moderation will catch all harmful content or always make correct decisions
• Other users' profiles, personality descriptions, or statements are accurate or truthful
• The Service will meet your specific expectations or requirements

You acknowledge that interacting with people you meet through the Service carries inherent risks. You are solely responsible for your interactions with other users. We strongly recommend exercising caution, especially before revealing your identity or meeting someone in person.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, FLOCK TOGETHER, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.

Without limiting the foregoing, we are not liable for any harm, damage, or distress resulting from interactions with other users, AI-generated content, or moderation decisions.

10. Indemnification

You agree to indemnify, defend, and hold harmless Flock Together and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, your violation of any third-party rights, or any content you submit to the Service.

11. Termination

11.1 By You

You may delete your account at any time through your account settings. Upon deletion, your account will be immediately deactivated and your searches will stop matching. Your data (profile, messages, matches, and embeddings) will be retained for 90 days for safety and legal purposes, after which it will be permanently and irreversibly deleted. During this retention period, your data may be accessed by Flock Together staff or disclosed to law enforcement if required by law or necessary to investigate violations of these Terms.

11.2 By Us

We may suspend or terminate your account and access to the Service at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms or our acceptable use policies
• Repeated harmful behavior toward other users
• Submitting fraudulent or deliberately misleading personality profiles
• Attempting to circumvent AI moderation or platform security measures
• Engaging in activity that could harm other users or the integrity of the Service
• As recommended by our AI moderation system following review of reported behavior

In cases of account termination for cause, we may retain certain data as described in our Privacy Policy for safety and legal compliance purposes.

11.3 Effect of Termination

Upon termination, your right to access and use the Service ceases immediately. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Content Ownership, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute with us informally by contacting us at the email address provided below. We will attempt to resolve the dispute through good-faith negotiation for at least 30 days before either party may pursue formal legal action.

12.2 Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts located in the judicial district of Montreal, Quebec for the resolution of any disputes arising from these Terms or your use of the Service.

12.3 Class Action Waiver

To the extent permitted by applicable law, you agree that any claims or disputes arising from or relating to these Terms or the Service will be resolved on an individual basis, and you waive any right to participate in a class action, collective action, or representative proceeding.

13. General Provisions

13.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Flock Together regarding the Service and supersede all prior agreements and understandings.

13.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, or if modification is not possible, it will be severed from these Terms without affecting the enforceability of the remaining provisions.

13.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver must be in writing and signed by Flock Together.

13.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms caused by events beyond our reasonable control, including but not limited to natural disasters, government actions, Internet or telecommunications failures, or third-party service outages.
